1. Special Notice & Binding Agreement
1.1 No Purchase Necessary
No purchase or payment is required to participate in the Promotion, be eligible to rank on the leaderboard, or receive a prize. A purchase or payment will not itself award Reward Score.
1.2 Merit-Based Ranking
Prizes are awarded based on participants’ final valid Reward Score and the published ranking criteria. Prizes are not awarded by random drawing, lottery, or chance. The participant with the higher final valid Reward Score will receive the higher ranking, subject to the tie-breaking rule in these Official Rules.
1.3 Binding Agreement
By participating in the Promotion, you agree to be bound by these Official Rules and the reasonable decisions of Sponsor regarding eligibility, activity validity, User Content, referrals, Reward Score, ranking, prize eligibility, verification, and Promotion administration, subject to applicable mandatory law. If you do not agree to these Official Rules, please do not participate.
1.4 Official Records
Sponsor’s server, platform, account, transaction, activity, and other backend records are the official records for purposes of administering the Promotion, subject to applicable law and the appeal process expressly provided in these Official Rules.
2. Sponsor
2.1 Sponsor
The Promotion is sponsored and administered by Root Technology, Ltd. ("Sponsor"). References to "Momcozy," "we," "us," or "our" in these Official Rules refer to Sponsor and/or the Momcozy brand, as applicable, solely in connection with the Campaign.
2.2 Administration
Sponsor may use its affiliates, subsidiaries, service providers, contractors, agencies, community moderators, fulfillment providers, and other authorized representatives to assist with the operation, review, verification, compliance, fraud prevention, prize fulfillment, and administration of the Promotion.
3. Promotion Overview & Promotion Period
3.1 Promotion
The “Momcozy Brand Day” Promotion (the “Promotion”) includes a Reward Score leaderboard challenge and related CozyCoins redemption activities.
3.2 Promotion Period
The Promotion begins on September 14, 2026 at 12:00:00 a.m. EDT (UTC-4) and ends on October 8, 2026 at 11:59:59 p.m. EDT (UTC-4) (the “Promotion Period”).
3.3 Official Time
All times in these Official Rules are Eastern Daylight Time (“EDT”), UTC-4. Sponsor’s server and backend records are the official time-keeping device.
3.4 Daily Limits
Unless otherwise stated, daily task limits reset at 12:00:00 a.m. EDT on each calendar day during the Promotion Period.
3.5 Valid Activity Period
A qualifying activity must be completed and recorded by Sponsor’s system during the Promotion Period. Activities completed after the Promotion Period ends will not qualify, even if initiated before the deadline.
4. Eligibility
4.1 Who Is Eligible
The Promotion is open only to legal residents of the 50 United States, the District of Columbia, Canada (excluding Quebec), and Mexico who:
• are at least 18 years old or the age of majority in their jurisdiction of residence, whichever is older;
• have a valid Momcozy account; and
• satisfy all other requirements of these Official Rules and applicable Momcozy terms.
4.2 Excluded Territory
Residents of Quebec are not eligible to participate or receive prizes under this Promotion.
4.3 Ineligible Persons
Employees, officers, directors, agents, and representatives of Sponsor and its affiliates, subsidiaries, advertising and promotion agencies, service providers, and other entities directly involved in the administration of the Promotion, as well as their immediate family members and members of their households, are not eligible to participate, to the extent permitted by applicable law.
4.4 Continuing Eligibility
Eligibility must continue through prize verification and award. Sponsor may verify eligibility at any stage of the Promotion.
5. How to Participate
5.1 Registration Required
To participate in the Promotion and be eligible to receive any prize, an eligible Participant must have or register for a valid Momcozy Account using a valid email address and access the designated Brand Day experience through the applicable Momcozy website or Promotion interface.
Completing a Momcozy Account registration alone does not constitute completion of any qualifying activity or entitle a Participant to Reward Score or a prize.
5.2 Momcozy Account
Participants must use a valid email address to register for and maintain their Momcozy Account. The email address associated with the Momcozy Account may be used for Promotion-related communications, including activity administration, verification, and prize notification.
The Participant’s Momcozy Account may maintain records relating to qualifying activities, Reward Score, referrals, and applicable User Content submitted in connection with the Promotion.
Participants are responsible for maintaining accurate and current account and contact information throughout the Promotion and prize verification period.
5.3 Additional Information
If the Promotion requires a Participant to provide additional profile information, link an account, complete a profile field, or take another registration or verification step, the Participant must follow the applicable instructions and on-site prompts provided through the designated Promotion interface.
5.4 Account Restrictions
Each individual may participate using only one Momcozy Account, unless otherwise expressly permitted by Sponsor. Sponsor may disregard activity associated with duplicate, fraudulent, or otherwise ineligible accounts.
5.5 Activity Participation
After completing the required registration, eligible Participants may complete the qualifying activities made available through the Brand Day experience and receive Reward Score in accordance with the applicable activity requirements, limits, and interface instructions.
Participation is subject to the specific requirements displayed for each activity. Sponsor does not guarantee that every activity will be continuously available to every Participant, region, account, device, or platform throughout the Promotion Period.
6. Reward Score
6.1 Nature of Reward Score
Reward Score is a virtual score used solely for ranking participants in the Brand Day leaderboard.
Reward Score:
• has no cash value;
• is not legal tender;
• cannot be sold, transferred, or exchanged for cash;
• cannot be used as a substitute for CozyCoins; and
• automatically expires when the Promotion ends.
Reward Score is separate from the participant’s regular CozyCoins balance.
6.2 Daily Qualifying Activities
During the Promotion Period, eligible Participants may earn Reward Score by completing the following qualifying activities, subject to the applicable requirements and daily limits:
Invite a qualifying new user to register: Earn 200 Reward Score for each qualifying new-user registration, up to 10 qualifying registrations per day.
Watch the 60-second TVC: Earn 20 Reward Score, up to 1 time per day.
Browse a product detail page for 10 seconds: Earn 5 Reward Score, up to 3 times per day.
View the Rewards Leaderboard: Earn 5 Reward Score, up to 1 time per day.
Like a qualifying Community post: Earn 5 Reward Score, up to 1 time per day.
Leave a qualifying Community comment of 3 or more words: Earn 10 Reward Score, up to 1 time per day.
Create a qualifying Community post of 20 or more words: Earn 20 Reward Score, up to 1 time per day.
Add items to cart: Earn 5 Reward Score, up to 3 times per day.
Complete one qualifying CozyCoins redemption: Earn 20 Reward Score, up to 3 times per day.
A Participant may earn Reward Score only to the extent that the applicable activity is completed in accordance with its requirements and recorded by Sponsor’s system. Daily limits apply separately to each qualifying activity unless otherwise stated.
6.3 One-Time Qualifying Activities
During the Promotion Period, eligible Participants may earn Reward Score by completing the following qualifying activities, subject to the applicable activity requirements. Each activity may earn Reward Score once during the Promotion Period, unless otherwise expressly stated by Sponsor:
• Participate in the qualifying UGC activity on Instagram: Earn 50 Reward Score.
• Participate in the qualifying UGC activity on Facebook: Earn 50 Reward Score.
• Participate in the qualifying UGC activity on TikTok: Earn 50 Reward Score.
• Follow Momcozy on Instagram: Earn 30 Reward Score.
• Follow Momcozy on Facebook: Earn 30 Reward Score.
• Follow Momcozy on TikTok: Earn 30 Reward Score.
• Subscribe to eligible Momcozy email communications: Earn 50 Reward Score.
• Join Momcozy's Mom's Group: Earn 50 Reward Score.
• Complete your Momcozy profile: Earn 50 Reward Score.
• Complete your baby profile: Earn 50 Reward Score.
• Create a Mom registry: Earn 50 Reward Score.
Sponsor may determine whether an activity has been completed in accordance with the applicable activity requirements and whether the activity has been properly recorded by Sponsor’s systems.
6.4 Activity Requirements
A qualifying activity will receive Reward Score only if the Participant satisfies the applicable requirements and Sponsor’s system records the activity as completed during the Promotion Period.
Sponsor may determine whether an activity satisfies the applicable requirements based on Sponsor’s records, the applicable Promotion interface, and other reasonably available information. Sponsor may disregard or invalidate activity that does not satisfy the applicable requirements or that is affected by fraud, manipulation, technical error, or other prohibited conduct.
6.5 Score Posting
Reward Score may not appear immediately after an activity is completed due to processing, verification, synchronization, or other technical reasons. Sponsor is not required to manually award points for an activity that is not recorded as completed, except where Sponsor determines that a technical error occurred or otherwise as required by applicable law.
If an activity becomes unavailable because of technical, platform, geographic, legal, regulatory, inventory, or other operational limitations, Sponsor is not required to provide substitute Reward Score unless required by applicable law.
6.6 No Purchase-Based Score
A purchase itself does not award Reward Score. CozyCoins earned from an order do not automatically become Reward Score.
Where completion of a CozyCoins redemption is itself a qualifying activity under Section 6.2, the participant may receive the Reward Score expressly associated with that activity.
7. Invitation and Referral Activities
7.1 Qualifying Referral
An eligible participant may receive 200 Reward Score for each qualifying new-user registration, subject to a maximum of 10 qualifying registrations per calendar day.
Only genuinely new and otherwise eligible users may qualify as new-user referrals.
7.2 Invitation Attribution
A new user may be attributed to only one inviter.
If a new user receives invitations from multiple participants, the invitation accepted by the new user first will determine the inviter, as reflected in Sponsor’s backend records.
Once recorded, referral attribution may not be transferred or reassigned, except where Sponsor determines that a technical correction is necessary.
Sponsor is not required to manually assign a referral where no valid invitation attribution is recorded in its system.
7.3 Invited-User Activity Score
If, before an invited user completes a particular qualifying activity, the applicable invitation interface displays a specific Reward Score amount, qualifying activity, and applicable limit for the inviter, the specific amount, activity requirements, and limitations displayed in that interface before completion of the activity will govern.
If no additional Reward Score is displayed for an invited-user activity, no additional inviter Reward Score will be awarded for that activity unless otherwise expressly stated by Sponsor.
7.4 Referral Restrictions
The following do not qualify:
• self-referrals;
• duplicate or fictitious accounts;
• accounts created primarily to generate referral rewards;
• registrations using automated or unauthorized methods;
• purchased or artificially generated referrals;
• manipulated or coordinated referral activity intended to improperly affect rankings; or
• referrals obtained through materially misleading or deceptive representations.
8. Leaderboard and Ranking
8.1 Ranking
Participants will be ranked based on their final valid Reward Score accumulated during the Promotion Period.
8.2 Prize Rankings
The 10 eligible participants with the highest final valid Reward Score will be eligible to receive the prizes corresponding to their final rankings, subject to Sponsor’s verification of eligibility, activity validity, and compliance with these Official Rules.
8.3 Final Settlement
After the Promotion Period ends, Sponsor may review and validate Reward Score, qualifying activities, referrals, User Content, and other relevant participation records before determining the final rankings.
8.4 Tie-Breaking
If two or more Participants have the same final valid Reward Score, the Participant who reached that final tied score earlier, based on Sponsor’s official records, will receive the higher ranking. No random drawing or random selection will be used to resolve a tie.
8.5 Winner Announcement
After the Promotion Period ends and Sponsor completes its applicable review and validation of the leaderboard results, Sponsor will publish the final leaderboard results identifying the potential Prize Recipients on the Momcozy Community website.Sponsor expects to publish the results as soon as reasonably practicable and no later than 10:00 a.m. EDT on October 29, 2026, subject to applicable law and any circumstances reasonably affecting the validation or publication process.
Publication of a Participant’s name, username, or other permitted identifying information in the leaderboard results does not, by itself, constitute final confirmation of the Participant’s eligibility or entitlement to receive a prize. Each potential Prize Recipient remains subject to the eligibility, verification, forfeiture, and other requirements set forth in these Official Rules.
Sponsor may limit the information disclosed in the winner announcement to the extent required or permitted by applicable law.
9. Prizes and Approximate Retail Value
Subject to eligibility verification, the 10 eligible Participants with the highest final valid Reward Score will be eligible to receive the prize corresponding to their final ranking:

The total ARV of all prizes is US$3,269.94.
The ARV is stated in U.S. dollars and represents Sponsor’s good-faith estimate of the approximate retail value of the applicable prize as of the Effective Date. The actual retail value may vary depending on the market, location, exchange rate, availability, or other factors, and any difference between the stated ARV and actual retail value will not be awarded or compensated.
The specific configuration, color, model, or other non-material characteristics of a prize may vary due to regional availability or inventory. If an advertised prize becomes unavailable, discontinued, legally restricted, or cannot reasonably be delivered to the applicable Prize Recipient, Sponsor may substitute a prize of equal or greater value, subject to applicable law.
A Participant’s eligibility to receive a prize is personal to that Participant and may not be transferred, assigned, sold, or substituted to another person, except as required by applicable law. A potential Prize Recipient may not designate another person to receive the prize in their place.The prize itself may not be exchanged for cash or another prize except as expressly permitted under these Official Rules or required by applicable law.
10. Prize Notification, Verification and Forfeiture
10.1 Notification
Potential Prize Recipients may be contacted using the email address associated with their Momcozy Account and/or through other applicable Momcozy communication channels. Publication of the final leaderboard under Section 8.5 does not replace or waive any eligibility verification or prize-claim requirements. Participants are responsible for monitoring the email address associated with their Momcozy Account, including spam and junk folders, and applicable Momcozy messages.
10.2 Verification
A potential Prize Recipient may be required to provide information reasonably necessary to verify eligibility and fulfill the prize, including a valid shipping address and tax or customs information where legally required.
10.3 Response Deadline
A potential Prize Recipient must respond within 7 calendar days after notification.
10.4 Forfeiture
A prize may be forfeited if the potential Prize Recipient:
• fails to respond within the applicable deadline;
• cannot be verified as eligible;
• provides false, incomplete, or inaccurate information;
• fails to provide required fulfillment information;
• violates these Official Rules or applicable Momcozy terms;
• has qualifying activity or User Content invalidated; or
• otherwise becomes ineligible.
10.5 Alternate Recipient
If a prize is forfeited, Sponsor may award the prize to the next eligible participant in the final ranking, repeating the process as necessary.
Sponsor is not required to select an alternate recipient where doing so is impracticable, prohibited by law, or unnecessary.
11. Prize Delivery, Shipping, Customs and Taxes
11.1 Delivery Territory
Prizes will be shipped only to valid physical addresses in the 50 United States, the District of Columbia, Canada excluding Quebec, and Mexico, subject to applicable shipping restrictions.
11.2 Shipping Costs
Sponsor will bear the applicable standard shipping/freight costs for prize delivery.
11.3 Customs and Import Charges
The Prize Recipient is responsible for any applicable customs duties, import taxes, tariffs, brokerage fees, clearance fees, or similar charges associated with receiving or importing the prize.
11.4 Delivery Timing
Prizes are expected to be shipped in November 2026. Actual shipment and delivery timing may vary due to inventory, carrier conditions, customs, force majeure, or other circumstances beyond Sponsor’s reasonable control.
11.5 Taxes
Prize Recipients are solely responsible for any federal, state, provincial, territorial, local, or other taxes, duties, fees, assessments, or government charges that may arise from or relate to the receipt, importation, ownership, or use of a prize, except for any amounts that Sponsor is expressly required to pay under applicable law. Where applicable, Sponsor may require a Prize Recipient to provide tax or other information reasonably necessary for prize reporting, withholding, customs clearance, or legal compliance. Sponsor may report, withhold, or remit amounts from or in connection with a prize where required by applicable law. Failure to provide information required for legally required reporting, withholding, customs clearance, or prize fulfillment may result in forfeiture of the prize to the extent permitted by applicable law.
12. CozyCoins Redemption
12.1 Separate Program
CozyCoins are separate from Reward Score and remain subject to the applicable CozyCoins terms and redemption rules.
12.2 Applicable Terms
All CozyCoins redemptions are governed by the applicable CozyCoins terms, conditions, redemption rules, and information displayed in the applicable Momcozy redemption interface.
Nothing in these Official Rules is intended to independently establish or modify the general terms governing CozyCoins.
12.3 Redemption Inventory
Redemption items and applicable CozyCoins requirements are subject to availability. Certain Brand Day redemption items may be available only during the Promotion Period and may be offered on a first-come, first-served basis while supplies last.
Sponsor does not guarantee that any particular redemption item will remain available throughout the Promotion Period.
12.4 Redemption Confirmation and CozyCoins Deduction
Participants should carefully review the applicable redemption item, required CozyCoins amount, quantity, delivery information, and other applicable terms before confirming a redemption. Once a CozyCoins redemption is successfully completed, the applicable CozyCoins will be deducted from the Participant’s account in accordance with the applicable CozyCoins terms and the redemption interface. Any cancellation, refund, return, reversal, or re-credit of CozyCoins following a completed redemption will be governed by the applicable CozyCoins terms and redemption rules. Nothing in these Official Rules creates a separate or additional right to cancel, refund, return, or re-credit CozyCoins. Sponsor is not responsible for a Participant’s failure to review the applicable redemption information before confirming a redemption, except to the extent otherwise required by applicable law.
12.5 Reward Score
Reward Score cannot be used to redeem CozyCoins or CozyCoins redemption items.
Where a qualifying CozyCoins redemption is listed as a Brand Day Reward Score activity, the participant may receive the Reward Score associated with that qualifying activity.
12.6 Redemption Delivery
Physical redemption items are subject to applicable regional and shipping restrictions and will be shipped only to eligible destinations within the Promotion territory, excluding Quebec.
13. User Content and Community Activities
The Promotion may include activities involving Community posts, comments, likes, social media content, photographs, videos, stories, or other participant-submitted material (“User Content”).
13.1 Content Requirements
User Content submitted for a qualifying activity must:
• be genuine and relevant to the applicable activity;
• comply with these Official Rules;
• comply with applicable Momcozy Community rules and third-party platform rules;
• not infringe another person’s intellectual property, privacy, publicity, or other rights; and
• not contain unlawful, fraudulent, deceptive, defamatory, threatening, harassing, hateful, or otherwise prohibited content.
13.2 Sponsor Content Management Rights
Sponsor reserves the right, before or after submission or publication, to review User Content and, to the extent permitted by applicable law:
• approve, reject, or refuse to credit User Content as a qualifying activity;
• remove, hide, restrict, or disable access to User Content;
• limit the visibility or distribution of User Content;
• moderate, edit, or request changes to User Content where reasonably necessary;
• remove or restrict a participant’s Community activity;
• invalidate Reward Score associated with User Content that does not comply with these Official Rules or applicable terms; and
• suspend or terminate participation or account access where permitted by applicable terms.
Sponsor is not obligated to review every submission or explain its moderation or fraud-detection methods.
Nothing in this Section limits any rights or procedures required by applicable law or applicable Momcozy terms.
13.3 Community Interaction
Community likes, comments, and posts count toward Reward Score only when they satisfy the applicable task requirements.
Sponsor may disregard repetitive, meaningless, spam-like, copied, manipulated, or otherwise non-genuine interactions.
A participant may not artificially generate engagement for the purpose of increasing Reward Score.
14. AIGC and Authenticity
Where an activity requires a participant to submit a personal story, experience, opinion, or original contribution, the content must genuinely reflect the participant’s own experience or contribution.
Participants may not submit content that is substantially generated by AI or other automated content-generation tools and represent that content as their own genuine personal experience or original contribution.
Sponsor may use reasonable technical, automated, or human review methods to assess content validity.
Sponsor is not required to disclose specific detection methods.
Ordinary spelling, grammar, formatting, translation, accessibility, or similar assistance does not, by itself, disqualify otherwise genuine content.
15. Third-Party Rights and Minors
15.1 Third-Party Rights
Participants are responsible for obtaining all rights, licenses, permissions, releases, and consents necessary for their User Content.
15.2 Minors
If User Content contains an identifiable minor, the participant represents that they have obtained all parental or legal guardian consents and permissions required by applicable law.
15.3 Personal Information
Participants should not submit another person’s personal information unless they have the legal right and necessary consent to do so.
16. License to User Content
User Content submitted in connection with the Promotion remains subject to the applicable Momcozy terms governing ownership and use of User Content.
To the extent additional rights are necessary for the administration, operation, promotion, or publicity of this Promotion, by submitting User Content, the participant grants Sponsor and its affiliates a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publicly display, publicly perform, distribute, and otherwise use the User Content in connection with the Promotion, Momcozy, and related products and services, to the extent permitted by applicable law.
Such use may include Momcozy websites, applications, social media channels, promotional materials, and other media or platforms selected by Sponsor.
No additional compensation will be owed for such use except where required by applicable law.
The participant represents that they have the necessary rights and permissions to submit the User Content and grant the rights described above.
17. Health and Community Disclaimer
Community posts, comments, User Content, and other participant discussions are provided for general informational and community purposes only. They do not constitute medical advice, diagnosis, treatment, or a provider-patient relationship. Participants should not rely on Community content as a substitute for advice from a qualified healthcare professional.
18. Prohibited Conduct and Anti-Fraud
Participants must participate honestly and comply with these Official Rules and applicable Momcozy terms.
Prohibited conduct includes, without limitation:
creating or using fake, duplicate, or fraudulent accounts;
• self-referrals;
• automated registrations or task completion;
• use of bots, scripts, macros, or other unauthorized systems;
• manipulation of views, likes, comments, follows, registrations, referrals, or other engagement;
• purchased or artificially generated engagement;
• submission of materially false information;
• impersonation;
• unauthorized attempts to bypass geographic or eligibility restrictions;
• hacking, tampering with, or interfering with Sponsor’s systems;
• exploiting technical vulnerabilities;
• submitting unauthorized or infringing content;
• spam or abusive activity; or
• any deceptive, fraudulent, unfair, or manipulative conduct intended to affect the Promotion.
Sponsor may, to the extent permitted by applicable law:
• invalidate affected activities or Reward Score;
• remove or restrict User Content;
• suspend or restrict participation;
• disqualify a participant;
• withhold, revoke, or reallocate a prize; and
• take other reasonable measures necessary to protect the integrity of the Promotion.
Sponsor is not required to disclose internal fraud-detection or security methods. Sponsor may take action based on information discovered before or after a Participant receives Reward Score, is identified as a Prize Recipient, or receives a prize. Where prohibited activity is discovered after a prize has been awarded, Sponsor may revoke the prize or take other appropriate action to the extent permitted by applicable law.
19. Score Adjustment and Appeal
Sponsor may correct technical errors and adjust Reward Score where Sponsor reasonably determines that points were incorrectly credited, duplicated, improperly generated, or obtained through invalid or prohibited activity.
If Sponsor notifies a participant that Reward Score has been adjusted or invalidated, the participant may submit an appeal within 72 hours after the date of the notice.
The appeal should identify the disputed activity and provide information reasonably supporting the participant’s position. Sponsor may review the appeal and correct an error where appropriate. Except to the extent prohibited by applicable mandatory law, Sponsor’s determination following review will be final. An appeal does not suspend the Promotion, delay prize verification, or guarantee restoration of any Reward Score.
20. Modification, Suspension and Termination
Sponsor reserves the right, to the extent permitted by applicable law, to modify, suspend, extend, or terminate the Promotion, or any portion of it, where reasonably necessary due to:
• fraud or abuse;
• technical failures;
• security concerns;
• changes in applicable law or regulatory requirements;
• platform or service changes;
• prize availability;
• force majeure; or
• other circumstances materially affecting the integrity, operation, or administration of the Promotion.
Where practicable and required by applicable law, Sponsor will provide reasonable notice of material changes.
Sponsor will not unnecessarily affect Reward Score that has already been validly earned before a change takes effect, except to correct errors, invalid activity, fraud, or as otherwise permitted or required by applicable law.
21. Privacy
Personal information collected in connection with the Promotion may be processed for purposes including:
• administering the Promotion;
• verifying eligibility;
• validating Reward Score and referrals;
• communicating with participants and potential Prize Recipients;
• detecting fraud and abuse;
• fulfilling and delivering prizes;
• complying with legal obligations; and
• otherwise administering the Promotion.
Personal information will be handled in accordance with the applicable Momcozy Privacy Policy and applicable law.
22. Publicity
Subject to applicable law, Sponsor may use the usernames and other general information of confirmed Prize Recipients for purposes of administering, announcing, and promoting the Promotion and Momcozy. Sponsor may publish applicable Prize Recipient information through the Momcozy Community website and other Momcozy-owned channels, subject to Section 8.5 and applicable law. Sponsor will limit the disclosure of personal information to information reasonably necessary for Promotion administration, winner announcement, or lawful promotional purposes.
23. Disclaimer and Limitation of Liability
23.1 No Exclusion of Mandatory Liability
Nothing in these Official Rules excludes or limits liability that cannot legally be excluded or limited under applicable law.
23.2 Limitation
To the maximum extent permitted by applicable law, Sponsor and its affiliates, directors, officers, employees, agents, and representatives will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to participation in the Promotion, except where such limitation is prohibited by law.
23.3 Liability Cap
To the maximum extent permitted by applicable law, Sponsor’s aggregate liability arising out of or relating to the Promotion will not exceed the Approximate Retail Value of the prize actually awarded to the participant. If the participant did not receive a prize, Sponsor’s aggregate liability will not exceed US$100.
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
23.4 No Guarantee
Sponsor does not guarantee uninterrupted access to the Promotion, any particular Reward Score level, ranking position, activity availability, or prize delivery date.
24. Participant Responsibility and Indemnification
To the extent permitted by applicable law, a participant is responsible for losses, claims, liabilities, damages, costs, and expenses arising from the participant’s:
• breach of these Official Rules;
• violation of applicable law or third-party rights;
• User Content;
• fraudulent, deceptive, or unauthorized conduct; or
• misuse of the Promotion or prize.
25. Governing Terms and Dispute Resolution
The Promotion and these Official Rules are subject to the applicable Momcozy Terms of Use, including the dispute-resolution provisions contained therein, to the extent applicable and enforceable. Any dispute arising out of or relating to the Promotion, these Official Rules, or participation in the Promotion will be handled in accordance with the applicable Momcozy Terms of Use. Nothing in these Official Rules limits any rights, remedies, or protections that cannot be waived under mandatory applicable law.
26. Third-Party Platforms
To the extent the Promotion involves Instagram, Facebook, TikTok, or other third-party platforms, the Promotion is not sponsored, endorsed, administered by, or affiliated with those platforms unless expressly stated otherwise.
Participants must comply with the applicable third-party platform’s terms, policies, and community standards.
Sponsor is not responsible for the operation, availability, policies, or actions of any third-party platform.
27. General Provisions
27.1 Sponsor Decisions
Sponsor’s reasonable decisions regarding eligibility, activity validity, User Content, referrals, Reward Score, ranking, prize eligibility, verification, and Promotion administration are final and binding, except to the extent prohibited by applicable mandatory law.
27.2 No Waiver
Sponsor’s failure to enforce any provision of these Official Rules does not constitute a waiver of that provision.
27.3 Severability
If any provision of these Official Rules is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by applicable law.
27.4 No Employment or Agency Relationship
Participation in the Promotion does not create any employment, contractor, agency, partnership, or other business relationship between a participant and Sponsor.
27.5 Language
The English-language version of these Official Rules controls to the extent permitted by applicable law.
27.6 Applicable Momcozy Terms
Participation remains subject to applicable Momcozy account, Community, CozyCoins, Privacy Policy, and other applicable terms, except where these Official Rules expressly govern a Promotion-specific matter.
28. Winner Information and Contact
Confirmed Prize Recipients may be announced through applicable Momcozy channels, subject to applicable law.
